Referral Program Terms

TrySparrow.com, Inc. (“Sparrow” or “We”) offers its supporters (“Referrer” or “You”) the opportunity to participate in its referral program (the “Program”). Sparrow’s referral program has been developed to support two great causes, Moms First and Paid Leave for All, while giving friends of Sparrow an opportunity to earn rewards when they introduce companies who care about their employees to Sparrow.

We welcome your customer referrals and are grateful for your support. By participating in the Program, you agree to these Sparrow Referral Program Terms (the “Terms”) and understand and agree that they govern our respective rights and responsibilities in connection with the Program. We reserve the right to modify or terminate the Program at any time in our sole discretion.

Heads Up
To participate in the Program, you must be at least 18 years old and not otherwise prohibited by any applicable law from being able to participate.

How the Program Works
In a nutshell, if you make a Qualified Referral to Sparrow, you will receive a $50 Amazon gift card when your Qualified Referral takes a demo of Sparrow. If your Qualified Referral becomes a Sparrow customer, Sparrow will donate to the Eligible Nonprofit of your choice. More information can be found in our Referral Program FAQ.

Qualified Referral
To be a Qualified Referral, the following must be achieved:

  • You are not employed by the referred company and do not otherwise have a business relationship with the referred company or stand to benefit financially from the referral.
  • The referred company is net new to Sparrow, meaning Sparrow does not have an existing customer relationship with the referred company, has not received a prior referral or lead for the referred company, and/or is not engaged in any form of sales discussions with the referred company.

How to Make a Referral
It’s easy! Just click this link to go to our referral page, and provide the requested information which includes information such as: name, referred company contact, and contact information. Any personal information submitted will be collected, processed and used in accordance with Sparrow’s Privacy Policy, which can be found at www.trysparrow.com/privacy.

Notification of a Qualified Referral
If Sparrow determines, within its sole discretion, that you have made a Qualified Referral, we will notify you via the email address you provided to Sparrow at the time of the referral.

How to Receive your Gift Card
When your Qualified Referral takes a demo of Sparrow, you will receive a $50 Amazon gift card. The referred company must attend a 30-minute meeting hosted by a Sparrow Sales team member in its entirety in order to qualify as a demo.

Within 14 days of completing the demo, you will receive a $50 Amazon gift card by email to the email address you provided on the referral program form.

How Donations are Made
When your Qualified Referral becomes a Sparrow customer, Sparrow will donate to the Eligible Nonprofit of your choice. To become a Sparrow customer, the referred company must enter into an agreement with Sparrow to purchase Sparrow’s services and complete Sparrow’s standard onboarding process within 9 months of you referring them in accordance with these Terms.

What Happens if you Make a Qualified Referral and How Donations are Made
If you receive notice that you have made a Qualified Referral, you will have the opportunity to choose an Eligible Nonprofit to which Sparrow will make a monetary donation on your individual behalf as set forth on our referral page. An “Eligible Nonprofit” is any non-profit organization that Sparrow has selected and identified to you as being eligible for receiving donations from Sparrow in connection with the Program.

Sparrow will make the donation to your selected Eligible Nonprofit through Our Change Foundation. Our Change Foundation operates exclusively for charitable, religious, educational, and scientific purposes, including, making of distributions to organizations that qualify as exempt organizations under Section 501©(3) of the Internal Revenue Code.

Disclaimer of Warranties
THE PROGRAM IS PROVIDED ON AN “AS IS” BASIS. SPARROW EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO SERVICES OFFERED THROUGH THE PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU UNDERSTAND AND AGREE THAT SPARROW WILL NOT BE LIABLE TO YOU IN CONNECTION WITH THE THESE TERMS AND THE PROGRAM WHETHER UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR (A) ANY DIRECT, INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, IN EACH CASE, WHETHER OR NOT SPARROW KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES AND (B) FOR ANY AMOUNTS THAT EXCEED $100 USD.

Miscellaneous
These Terms constitute the entire agreement between you and Sparrow concerning your use of the Program. The failure of Sparrow to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to reflect the parties’ intention and only to the extent necessary to make it enforceable, and the remaining provisions of the Terms will remain in full effect. There are no third party beneficiaries to these Terms. These Terms will be governed by the laws of the State of California without regard to its conflict of laws provisions. Each party hereby consents and irrevocably submits to the exclusive jurisdiction and exclusive venue of the federal and state courts of San Francisco, CA.
